1. Acceptance of Terms
By visiting our website, submitting a contact form, requesting a quote, or entering into a service agreement with Codexaio, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree with any part of these Terms, please do not use our website or services.
2. Description of Services
Codexaio provides technology development and consulting services, including but not limited to:
- AI solutions, machine learning, and automation development
- IoT and Industrial IoT (IIoT) hardware and software development
- Mobile application development (iOS and Android)
- Website and web application development
- Custom software, ERP, CRM, and SaaS platform development
- Digital marketing, SEO, and content services
The specific scope, deliverables, timeline, and cost of any project will be detailed in a separate proposal, quote, or service agreement provided to the client prior to commencement of work.
3. Project Engagement & Quotes
Quotes provided by Codexaio are estimates based on the information available at the time and are valid for 30 days unless otherwise stated. Final project cost and timeline depend on the complexity, features, and any changes to scope requested after the initial agreement. We are happy to assist in defining technical requirements and feature specifications as part of our discovery process, even if you begin with only an idea.
4. Payment Terms
Unless otherwise agreed in writing, projects are typically billed according to a milestone-based or deposit-plus-balance structure. Standard terms include:
- An upfront deposit is generally required before work begins.
- Remaining payments are tied to project milestones or final delivery, as outlined in your specific agreement.
- Late payments may result in a pause of project work until outstanding amounts are settled.
- All fees are quoted in US Dollars (USD) unless otherwise agreed for UK, Canadian, or Australian clients.
5. Intellectual Property & Source Code Ownership
Upon full and final payment for a project, full ownership of all source code, designs, hardware schematics, and deliverables created specifically for your project is transferred to you, the client. Until full payment is received, Codexaio retains ownership of all work product. Codexaio retains the right to reuse general methodologies, frameworks, and non-client-specific code libraries developed during the course of providing services, and may showcase completed work in its portfolio unless a client requests confidentiality in writing.
6. Client Responsibilities
To ensure timely and successful project delivery, clients agree to:
- Provide accurate, complete, and timely information, content, and feedback required for the project.
- Designate a point of contact authorized to make decisions and approve deliverables.
- Respond to requests for feedback or approval within a reasonable timeframe to avoid project delays.
- Ensure they have the legal right to any content, trademarks, or materials provided to us for use in the project.
7. Revisions & Change Requests
Minor changes within the original agreed scope are generally accommodated as part of the standard development process. Requests that materially expand the scope, add new features, or significantly alter requirements may be treated as a change order, with Codexaio providing an updated quote and timeline for client approval before proceeding.
8. Support & Maintenance
We offer post-launch support and maintenance packages to address bugs, apply updates, and implement feature enhancements. Specific support terms, response times, and coverage periods will be outlined in your service agreement or support contract. Support beyond any included warranty period may be billed separately on a retainer or per-incident basis.
9. Warranties & Disclaimers
Codexaio warrants that services will be performed in a professional and workmanlike manner consistent with generally accepted industry standards. Except as expressly stated, our services and any deliverables are provided "as is" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement, to the maximum extent permitted by applicable law.
10. Limitation of Liability
To the fullest extent permitted by law, Codexaio's total liability arising out of or related to any project or these Terms shall not exceed the total fees paid by the client for the specific project giving rise to the claim. In no event shall Codexaio be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, even if advised of the possibility of such damages. Nothing in these Terms limits liability that cannot be excluded under applicable law, including in relation to UK, Canadian, or Australian consumer protection statutes where applicable.
11. Confidentiality
Both parties agree to keep confidential any proprietary, technical, business, or financial information disclosed during the course of a project, and to use such information solely for the purpose of fulfilling the engagement. This obligation survives the completion or termination of the project. A separate Non-Disclosure Agreement (NDA) is available upon request prior to project commencement.
12. Termination
Either party may terminate a project engagement with written notice as specified in the applicable service agreement. In the event of termination, the client agrees to pay for all work completed up to the date of termination. Codexaio reserves the right to suspend or terminate services in cases of non-payment, breach of these Terms, or unlawful use of our services.
13. Governing Law & Regional Terms
These Terms shall be governed by the laws of the State of New York, United States, without regard to its conflict of law provisions, except where mandatory consumer protection laws of the client's jurisdiction apply, including for clients based in:
United States
Governed primarily by New York state law and applicable U.S. federal law.
United Kingdom
Subject to applicable UK consumer rights legislation where Codexaio provides services to UK-based clients.
Canada
Subject to applicable Canadian federal and provincial consumer protection laws where relevant.
Australia
Subject to the Australian Consumer Law (ACL) where Codexaio provides services to Australian-based clients.
14. Acceptable Website Use
You agree not to use our website in any way that could damage, disable, overburden, or impair it, or interfere with any other party's use of the website. You may not attempt to gain unauthorized access to any portion of the website, other accounts, computer systems, or networks connected to our servers.
15. Changes to These Terms
We may update these Terms from time to time to reflect changes in our services, business practices, or legal requirements. The updated Terms will be posted on this page with a revised "Last Updated" date. Continued use of our website or services after changes take effect constitutes acceptance of the revised Terms.
